mircea_popescu: mod6 the usual terminology re shares is "subscribed". the reason has to do with history. the way business has worked (mostly in italy, which is where it was invented, five centuries ago) was that 1. some people got together united by their recognition of a solution to some problem ; 2. that then evaluated the costs of implementing such solution (often the case -- the cost was to outfit a ship and the problem was "there's no s

mircea_popescu: this aside -- you certainly can also have the foundation simply hold a convertible debt ; but bear in mind that it can't possibly hold a seat on the board until such a time as it converts that bond and gets shares.
